Client Contract for nanoSmith.net

This agreement made on ______________, ______,

and (Contractor) nanoSmith.net of 159 north Racine, Chicago, IL, 60607.

1. Preamble/Recitals; Background of Contract

2. Specifications and Descriptions of Services

3. Time of Service contract and Due date. Contract expiration.
"time is of the essence" *must include these words.

4. Price and Payment Descriptions and Schedule. (terms)

5. Invoices will be submitted for all services performed.

6. Independent Contractor: The parties intend nanoSmith.net to be an independent contractor in the performance of these services. NanoSmith.net shall have the right to control and determine the method and means of performning the above services.
Client shall not have the right to control or determine such method or menas.

7. Other Clients. Contractor retains the right to perform services for other clients.

8. Assistants. Contractor, at Contractor's expense, may employ such asssistants as contractor deems appropriate to carry out this agreement. Contractor will be responsible for paying such assistants, as well as an expense attributable to such assistants, including income taxes, unemployment insurance and social security taxes.

9. Equipment and Supplies.
nanoSmith.net, at Contractor's expense, will provide all equipment, tools and supplies necessary to perform the above services, and wil be responsible for all other expense required for the performance of those services.

10. Warranty of Service. Stages and Approvals of Contract worked out above.
NanoSmith.net guarantees earnest work towards completion of a contract.
But, In no event will nanoSmith.net Web Services be liable for any damages, including lost profits, lost data, or other incidental or consequential damages, even if nanoSmith.net. is advised of the possibility of such damages, or for any claim by you or any third party.

11. Retention of copyrights and domain name rights.
What nanoSmith.net creates for any Client is copyrighted property of NanoSmith.net services unless otherwise stated.

12. Termination of Contract. Breech of Contract. Arbitration and Damages.
Contract may be terminated upon the approval of both nanoSmith.net and Client. If approval can not be met on termination, both parties will use third party arbitrator to help reach agreement.
